The name of the Company was changed to Burnpur Cement Private Limited on September 18,2001. Subsequently, the Company was converted into a Public Limited Company under section Sec. 44 of the Companies Act, 1956 on November 12,2001 and the name of the Company was changed to Burnpur Cement limited and a fresh Certificate of Incorporation obtained from the Registrar of Companies, West Bengal Kolkata. BASIS OF ALLOTMENT

INITIAL PUBLIC ISSUE OF 2,19,00,000 EQUITY SHARES OF RS. 10/- EACH FOR CASH AT A PREMIUM OF RS. 2/- PER EQUITY SHARE. AGGREGATING TO RS. 2628 LACS (HEREINAFTER REFERRED TO AS "THE ISSUE"). THE ISSUE COMPRISES A RESERVATION FOR ELIGIBLE EMPLOYEES OF UP TO 1O,95,OOO EQUITY  SHARES OF RS.10/-- EACH (HEREINAFTER REFERRED TO AS THE "EMPLOYEE RESERVATION PORTION") AND THE NET ISSUE TO THE PUBLIC OF 2,08,05,000 EQUITY SHARES OF RS. 10/- EACH (HEREINAFTER REFERRED TO AS THE "NET ISSUE") THE ISSUE CONSTITUTED 50.94% OF THE FULLY DILUTED POST-ISSUE PAID UP CAPITAL OF THE COMPANY. THE NET ISSUE TO THE PUBLIC CONSTITUTED 48.39% OF THE FULLY DILUTED POST ISSUE PAID UP CAPITAL OF THE COMPANY.

ISSUE PRICE: RS.12/- PER EQUITY SHARE OF FACE VALUE OF RS.10/- EACH. THE FACE VALUE OF THE EQUITY SHARE IS RS.10/- AND THE ISSUE PRICE IS 1.2 TIMES THE FACE VALUE.

The Board of Directors of Burnpur Cement Limited ('Company") wish to thank all the Investors for their response to the Public Issue. The Basis of Allotment has been finalized in consultation with the Bombay Stock Exchange Limited ("BSE") on 26th December, 2007. The Public Issue opened on Wednesday. November 28,2007 and closed on Monday, December 3.2007. The Issue received 98775 valid applications for 324075000 equity shares resulting in 14.79 times subscription and 21910463 equity shares has been allotted by the Board of Directors at their meeting on 26th December. 2007 as mentioned below. The details of valid applications received in this issue from Retail, Non Retail and Employee categories after rejection and withdrawal are as under:

A. Allocation to Retail Investors
The Company received 98457 valid applications for 257512500 equity shares in this category resulting in over subscription of 15.51 times. The total number of shares allotted in this category Is 16607284 Equity Shares. The category-wise details ot the Allotment are as under:

B. Allocation to Non Institutional Investors
The Basis of Allotment to the Non Retail Investors was finalized in consultation with BSE. The Category was subscribed 15.51 times. The total number ot shares allotted in this category is 4208179 Equity Shares. The category-wise details of the Allotment are as under:

C. Allocation to Employees
The Basis of Allotment to the Employees was finalised in consultation with BSE. The Category was subscribed 1.15 times. The total number of shares allotted in this category is 1095000 Equity Shares. The category-wise details of the Allotment are as under:

The Board of Directors of the Company at their meeting held at Kolkata on 26th December, 2007 has approved the basis of allocation of shares of the issue and has allotted the shares to various successful applicants.

The physical refund warrants, intimation regarding refunds through electronic modes (ECS) and allotment advice has been dispatched to the same address of the investors as registered with the depositories. In case the same is not received within ten days, investors may contact at the address given below. The Refund Orders have been over-printed with the Bank Mandate details as registered, if any, with the depositories. The shares allocated to successful applicants have being credited to their beneficiary accounts subject to validation of the account details with the depositories concerned .The Company has filed the application for listing of shares with Bombay Stock Exchange Limited (BSE) and National Stock Exchange Limited (NSE) on December 28,2007. The company is taking steps to get the equity shares admitted for trading on the BSE and NSE within seven working days from the date of allotment of equity shares.
